Terms and Conditions - Visisona Ltd Version: 1.2 Effective Date: 25 February 2026 Last Updated: 25 February 2026 1. Introduction These Terms and Conditions (“Terms”) govern the use of visisona.com (the “Platform”) operated by Visisona Ltd (Company No: SC755759), DunEden Business Centre, 8 Harrison Road, Dundee, DD2 3SN, United Kingdom. Email: office@visisona.com. Visisona Ltd provides a Software-as-a-Service (“SaaS”) platform enabling subscribers (“Subscribers”) to create, host and distribute interactive virtual 3D books incorporating multimedia content. By creating an Account or using the Platform, you agree to be legally bound by these Terms. 2. Privacy & Data Protection Visisona Ltd processes personal data in accordance with its Privacy Policy available at visisona.com. The Privacy Policy forms part of the contractual framework governing use of the Platform. By creating an Account, the Subscriber confirms they have read and understood the Privacy Policy. Where Subscribers upload Content containing personal data, the Subscriber acts as Data Controller and Visisona Ltd acts as Data Processor in accordance with UK GDPR and the Data Protection Act 2018. 3. Eligibility Users must be at least 18 years of age and have authority to bind any organisation they represent. 4. Subscription & Payment Services are provided on monthly or annual subscription plans. Fees are payable in advance and are non-refundable unless required by law. All fees are stated in pounds sterling (£). Visisona Ltd is not currently VAT registered. Should VAT registration become applicable in future, fees may be subject to VAT at the prevailing rate. Failure to pay may result in suspension or termination. 5. Hosting Status & Responsibility Visisona Ltd acts solely as a hosting provider and technical intermediary. All Content is the sole responsibility of the Subscriber. We do not endorse or verify Content prior to publication. 6. Permissions, Image Rights & Personal Data Subscribers must obtain all necessary permissions and lawful bases before uploading Content containing identifiable individuals. Public books may be indexed by search engines and accessible globally. Subscribers indemnify Visisona Ltd against claims arising from unlawful publication or processing. 7. Artificial Intelligence & Synthetic Media Subscribers must not upload Content that: - Uses AI to impersonate real individuals without permission; - Creates deepfake media depicting conduct that did not occur; - Falsely implies endorsement by a real person or organisation; - Materially misrepresents authenticity or origin of media content. Visisona Ltd may remove deceptive synthetic media at its discretion. 8. Misleading Commercial Practices Subscribers must not upload Content that: - Contains fabricated testimonials or fake reviews; - Uses misleading before/after imagery; - Makes unsubstantiated medical or cosmetic claims; - Misrepresents property condition or availability; - Promotes unauthorised financial or investment schemes; - Misrepresents business identity or affiliation; - Uses copyrighted material without licence. 9. Prohibited Content Unlawful, violent, extremist, hateful, fraudulent or infringing Content is strictly prohibited. Serious breaches may result in suspension or termination without refund. 10. Reporting & Enforcement Visisona Ltd reserves the right to review, remove or suspend Content or Accounts without notice where necessary. We will cooperate with properly constituted law enforcement or regulatory authorities where legally required. 11. View-Based Usage & Overage Charges A “View” means each successful instance of a virtual book being loaded and served. Additional Views are charged at £1.00 per 10,000 Views beyond plan allocation. We may throttle or suspend service in cases of excessive or viral traffic. 12. Fair Use Policy Subscribers must not use the Platform as a bulk file hosting or streaming service or in a manner that disrupts platform integrity. 13. Password Protection Password protection is provided as a convenience feature only. Subscribers are responsible for secure distribution of passwords. 14. Cancellation & Data Lifecycle Subscriptions remain active until the end of the billing period. Following expiry: - 30-day read-only period applies; - 90-day grace retention period follows; After the grace period, Content may be permanently deleted. 15. Backup Disclaimer Visisona Ltd is not responsible for maintaining backups beyond the grace retention period. 16. Termination, Reactivation & Fresh Subscription Where an Account is permanently closed, all subscription rights lapse. If reactivation is permitted, the Subscriber must purchase a new subscription at prevailing rates. Previous data or entitlements are not guaranteed to be reinstated. 17. Record Retention Invoice and transaction records may be retained in accordance with legal and tax obligations. 18. Limitation of Liability Nothing excludes liability that cannot be excluded under Scots law. Total liability is limited to fees paid in the preceding 12 months. 19. Indemnity Subscribers indemnify Visisona Ltd against claims arising from their Content or breach of these Terms. 20. Amendments Visisona Ltd reserves the right to update or amend these Terms at any time. Updated versions will be published on visisona.com with a revised version number and effective date. Continued use of the Platform following publication constitutes acceptance of updated Terms. Where changes are material, Subscribers may be required to expressly accept the revised Terms before continuing to use the Services. 21. Governing Law These Terms are governed by the laws of Scotland. The Scottish Courts shall have exclusive jurisdiction.
